Terms of Service

Please read these Terms of Service carefully before engaging Karnalisoft for any services. By commissioning work from Karnalisoft, you agree to be bound by these terms. If you have any questions, contact us at hello@karnalisoft.com before proceeding.

1. Services
Karnalisoft provides web design, web development, SEO, digital marketing, branding, and related digital services to clients in Nepal and internationally. The specific scope of services for each engagement is defined in a written proposal or statement of work agreed upon before work commences.
2. Project Engagement
A project begins only after: (a) a written proposal or statement of work has been agreed upon; (b) the initial deposit payment has been received; and (c) both parties have confirmed the agreed start date. Verbal agreements are not binding. We reserve the right to decline any project enquiry at our sole discretion.
3. Payment Terms
Payment milestones and amounts are set out in each project proposal. Standard terms are 50% upfront before work begins and 50% upon project completion, before the final website is deployed to production. For larger projects, a staged payment schedule may be agreed in writing. Invoices are due within 14 days of issue. Late payments may incur a 2% per-month interest charge. We reserve the right to pause work on projects with overdue invoices.
4. Revisions and Change Requests
The number of revision rounds included is specified in each project proposal. Revisions within the agreed scope are included at no extra charge. Changes that materially alter the scope of the project (additional pages, new features, significant redesigns) will be quoted separately and require written agreement before work proceeds.
5. Client Responsibilities
Clients are responsible for: providing accurate, complete briefing materials; supplying all required content (text, images, logos) by the agreed dates; reviewing and approving deliverables within 5 business days; and nominating a single point of contact for the project. Delays caused by late client feedback or content delivery will extend the project timeline accordingly and are not the responsibility of Karnalisoft.
6. Intellectual Property
Upon receipt of full payment, Karnalisoft transfers all intellectual property rights in the completed website design and code to the client. Until full payment is received, all work remains the intellectual property of Karnalisoft. We retain the right to display completed work in our portfolio unless the client requests otherwise in writing. Third-party assets (fonts, stock images, plugins) are subject to their own licensing terms, which we will advise on during the project.
7. Warranties and Quality Guarantee
We warrant that all work will be performed with reasonable skill and care, and that delivered websites will function as specified and as demonstrated in staging. We provide a 30-day post-launch warranty for standard business websites, and 60–90 days for more complex projects, during which we will fix any defects caused by our work at no charge. This warranty does not cover issues arising from client modifications, third-party plugin updates, or hosting provider problems.
8. Limitation of Liability
Karnalisoft's total liability for any claim arising from a project is limited to the total fees paid by the client for that project. We are not liable for indirect, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption. We are not responsible for the performance of third-party hosting, payment gateways, or other services outside our control.
9. Confidentiality
Both parties agree to keep confidential any proprietary business information disclosed during the project. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law. Karnalisoft may disclose the existence of the project and display completed work in portfolio materials unless the client requests otherwise in writing.
10. Termination
Either party may terminate a project by giving 7 days' written notice. If the client terminates, they are liable for payment of all work completed up to the termination date. If Karnalisoft terminates due to client breach (including non-payment), all work remains the intellectual property of Karnalisoft until outstanding invoices are settled. We may terminate immediately if the client requests illegal content or violates these terms.
11. Governing Law
These terms are governed by the laws of Nepal. Any disputes shall be resolved first through good-faith negotiation, and if unresolved, through arbitration or the courts of Kathmandu, Nepal.
12. Changes to These Terms
We may update these terms from time to time. Changes will be posted on this page with an updated date. For active projects, the terms in effect at the time the project proposal was agreed will apply.
